Article V: Committees

5.1. Committee on Nominations - During the month of December in each year, the board shall appoint a nominating committee of 5 members, whose duty it shall be to nominate candidates for directors and officers to be elected at the next annual meeting. They shall notify the secretary in writing, at least 20 days before the date of the annual meeting, of the names of such candidates, and the secretary, except as herein otherwise provided, shall mail a copy thereof to the last recorded address of each board member simultaneously with the notice of the meeting.
5.2. Other Committees - At the first meeting of the board after their election, or as soon thereafter as practicable, the board may create an executive committee and such other standing committees as the board may deem necessary to promote the purposes and carry on the work of the corporation. The term of each chairman shall be 1 year and until the election and qualification of his successor. The members of such committees shall hold office until the appointment of their successors. Each committee must have at least one director. Unless it is provided otherwise in the articles or bylaws, the board may appoint natural persons who are not directors to serve on a committee.
5.3. Special Committees - The president may, at any time, appoint other committees on any subject for which there are no standing committees.
5.4. Committee Quorum - A majority of any committee of the corporation shall constitute a quorum for the transaction of business, unless any committee shall by a majority vote of its entire membership decide otherwise.
5.5. Committee Vacancies - The various committees shall have the power to fill vacancies in their membership.
